Notice to Vendors, Contractors, and Lenders:

Only specifically authorized employees of Congressional District Programs have power to commit CDP to any business transaction or contract. The programs at CDP do not have independent legal status. They are internal divisions of CDP formed to carry out the many charitable, religious, and educational projects of CDP. The programs are not agents of CDP and have no power to bind it. The programs of CDP do not have officers, directors, or employees. Only CDP has officers, directors, and employees.

Accordingly, no program at CDP has the power or capacity to enter into any business transaction or contract. Only CDP, as a non-profit corporation, has such power which is exercised only by and through its specifically authorized employees.

Therefore, the only obligations which CDP recognizes as binding on it are those which result from the acts of its duly authorized employees. We are pleased to identify them upon request.

Please be advised that if you provide goods or services, advance credit, or make a loan to a program at CDP, you accept the risk that CDP will disavow any responsibility for either the invoice or loan.

Terminating a Program:

In the event that CDP has determined that a program should be terminated for any reason, or if a Program Manager has requested the account be closed, there are four options available to CDP, in its sole discretion, but with the advice of the Program Manager:

• Disbursing the remaining assets on qualified charitable activities, such as outstanding invoices or consulting fees;
  
  
• Transferring the remaining assets to public charities, including existing ones and ones that may be formed with the consent of CDP;
  
  
• Transferring the remaining assets to CDP's general operating account;
  
  
• Transferring the assets to another program at CDP
